Wide Ripples Digital Inc. (“Wide Ripples”) provides digital services, including website creation, domain registration, hosting, SEO, and related offerings, under the terms set forth below. By entering into a service agreement with Wide Ripples, the client agrees to be bound by these terms and conditions.

1. Purchase of Services
Wide Ripples provides the agreed-upon services (the “Services”) as outlined in the signed agreement between the client and Wide Ripples. These may include website development, domain registration, hosting, SEO services, content marketing, and other digital marketing services. The client agrees to pay the specified fees for these Services, whether as a monthly, lump sum, or per-action fee, as outlined in the agreement. Wide Ripples assumes no responsibility for tailoring privacy policies or terms of use for the client’s business or website.

2. Credit Approval
The agreement is subject to the approval of the client’s credit by Wide Ripples. By entering this agreement, the client consents to Wide Ripples conducting credit checks and recording or disclosing credit-related information to third parties as necessary.

3. Term and Payment Obligations
The term of the agreement is determined by the billing schedule provided. The client may terminate the agreement by providing written notice; however, termination will not take effect until after two subsequent monthly billing periods. The client remains responsible for all charges incurred during this period, and payment of fees constitutes an essential condition of the agreement.

4. Termination by Wide Ripples
Wide Ripples reserves the right to terminate the agreement and cease providing Services if the client defaults on payment or breaches any term of the agreement. Notice of such termination will be provided to the client.

5. Content Marketing
Content marketing services provided as free incentives, including blog posts or social media updates, are at the discretion of Wide Ripples and may not be tailored to the client’s specific business or expertise. Clients may request edits or submit their own drafts for review. The client grants Wide Ripples permission to use case studies, statistics, and project-related details in its portfolio unless explicitly stated otherwise.

6. No Guarantees of Performance
Wide Ripples may share general statistics or case studies to illustrate potential outcomes of its services. However, the client acknowledges that Wide Ripples does not guarantee specific results or success, as outcomes may vary depending on numerous factors outside its control.

7. Client’s Responsibilities
The client warrants that they have the legal authority to operate the website and that their use of Wide Ripples’ Services complies with all applicable laws and regulations. The client further warrants ownership or proper licensing of all trademarks, trade names, and other content used in the website.

8. SMS Notifications
Wide Ripples may send SMS notifications or feedback requests to the client’s customers as requested. The client must obtain consent from their customers to receive these messages, ensuring compliance with all applicable laws. Wide Ripples accepts no liability for claims arising from SMS-related activities and reserves the right to send marketing or service-related SMS messages to the client.

9. Limitation of Liability
Wide Ripples’ liability is limited to the amount paid by the client for the specific service during the relevant term. Under no circumstances will Wide Ripples be liable for special, incidental, or consequential damages, including but not limited to loss of profits, business opportunities, or data. Any claims must be brought within two years of the relevant event.

10. Modifications to the Agreement
Wide Ripples may modify the terms of this agreement provided such changes do not materially affect the client’s rights or obligations. Clients are deemed to accept changes upon receiving notice of the modification.

11. Intellectual Property Rights
Wide Ripples retains ownership of all intellectual property related to the Services unless otherwise specified. Upon full payment and, if applicable, payment of a transfer fee, Wide Ripples may grant the client a license to use materials created under the agreement, provided this does not infringe upon third-party agreements.

12. Confidentiality
The client agrees to keep confidential all proprietary information regarding Wide Ripples’ policies, pricing, and practices. Both parties agree to conduct their business in compliance with applicable laws and regulations.

13. Force Majeure
Wide Ripples is not liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, government actions, or supply chain disruptions.
